Director, Contract Management

The Opportunity:

The Global Sourcing and Contract Management (GSCM) team helps maximize value from OpenText’s vendor relationships and ensures our business unit stakeholders have the goods and services they need to succeed. 
Reporting to the Sr. Director, Sourcing and Contract Management, the Director of Contract Management is responsible for leading, in partnership with Sourcing teams, all inbound procurement contract negotiations and ongoing contract lifecycle management activities. 
You will advise on a wide variety of commercial contracts including marketing & events, contingent labor, corporate services, facilities with a particular focus on technology related agreements (software licenses and maintenance, hardware and maintenance, telecom and networking).  
In this role, the incumbent will work closely with Legal team colleagues, as well as with business leaders throughout the company, on myriad deals. You will help us to build scalable tools and processes to support a growing global business as well as the sourcing and procurement transformation initiative. You must bring exceptional business judgment and creativity to your daily role, and have a track record of collaborating and thriving in a fast-paced, team environment.

You Are Great At:

•    Leading and building internal capabilities to review, draft and negotiate high complexity contracts, including inbound software and hardware including maintenance agreements, marketing, facilities, contingent workforce and other commercial agreements, sometimes impacting multiple organizations within the business
•    Delivering timely, pragmatic, and business-focused contractual advise to internal stakeholders and executives, even in ambiguous situations
•    Providing guidance on business and contractual risks, company policies and risk tolerance related to inbound transactions.
•    Collaborating closely with Legal team members to build, implement and maintain standard form agreements (master agreements, purchasing agreements, inbound licensing agreements, services agreements, professional services agreements, statements of work etc.), deviation positions, processes and guidelines.
•    Establishing standards for global Contract Lifecycle Management, Contract Management Plans, Supplier Performance Management and Supplier Corrective Action Requests pertaining to the procurement of product and service categories.
•    Supporting the sourcing teams in developing sourcing strategies, document requirements and executing sourcing events.
•    Communicating with senior management with respect to ongoing contracts and strategies including negotiation objectives, scope, strategy and direction to negotiation team.


What It Takes:


•    JD, LLB degree or equivalent
•    Legal background with 10+ years of relevant leadership and procurement contracting experience, ideally within a fast-paced and growing organization
•    Knowledge and expertise in common and/or civil law
•    Thorough skills in contract preparation, negotiation and interpretation of a wide variety of agreements including software, hardware, telecom, network, facilities, professional services etc. considered a strong asset.
•    Significant experience drafting and negotiating key contractual provisions including confidentiality, warranty, indemnity, limitations of liability, termination, service levels and specifically in software licensing agreements terms such as intellectual property, use rights, licensing metrics, virtualization and cloud concepts.
•    Extensive contract drafting and template creation skills (domestic and international)
•    Experience leading internal projects to improve global contract processes
•    Entrepreneurial mindset; flexible, self-starting and hard-working
•    Excellent organizational skills and ability to manage multiple urgent projects concurrently
•    Effective at managing project expectations, reporting to upper level management, and managing escalations of contractual and business issues
•    Strong written and oral communication skills
