Lead Sr. Legal Counsel

OpenText is seeking an experienced commercial Lead Senior Counsel to join our North American in-house legal team. This is a diverse role that will require a keen understanding of complex commercial legal issues, flexibility, and the ability to autonomously negotiate and draft a wide variety of complex commercial technology agreements in support of various Americas-region sales activity, including cloud services agreements, software licenses, and professional services.  The role is also one of trusted legal advisor, working with cross-functional groups, diverse internal clients, and handling escalations.  In this capacity the Lead Senior Counsel is expected to perform analysis and provide guidance on company transactions as well as new go-to-market products, evaluate risk, update templates, create training materials, and manage projects of benefit to the Legal team and department. This role is instrumental in developing junior legal talent.

  • 6+ years of previous experience conducting contract negotiations (preferably concerning technology) in-house
  • Enthusiastic, hard-working, team oriented, and confident working at a senior level with lawyers and other professional colleagues
  • Interest in learning new technologies and business models; vision to create new templates and streamline processes; willing to make recommendations and participate in the decision-making process
  • Experience doing business with regulated industries; understanding or interest in data privacy/ data security a plus
  • Solid “hands on” experience drafting, negotiating and providing guidance on a wide variety of agreements; particularly in software licensing, hosted/ cloud based product agreements, professional services contracts, and maintenance and support agreements
  • Knowledge of working within the IT sector and assisting sales executives on commercial and sales transactions
  • Background in contract support for a variety of business functions including sales, marketing, engineering and other internal clients
  • Ability to advise management on risks across the business and strategies for mitigation
  • Good judgment, integrity, and attention to detail
  • Think creatively.  Act professionally.
