THE OPPORTUNITY 
OpenText is seeking a full-time commercial Legal Counsel or Senior Legal Counsel to join our in-house legal team supporting the on-demand messaging (ODM) Sales Team within the Digital Experience line of business.  Ancillary support for another software product line will also be involved. As part of the larger commercial Legal team dedicated to the success of our company as well as the professional growth of its team, this role will focus largely on drafting and negotiating commercial contracts for OpenText’s ODM services and software.  The Legal Counsel will work collaboratively with Sales and cross-functional subject-matter experts to assist with drafting, negotiating, to close commercial transactions.  In this capacity the successful candidate is expected to perform analysis and provide guidance on company transactions as well as new go-to-market products, evaluate risk, update templates, create and deliver training, and manage projects of benefit to the Legal team and department. 


YOU ARE GREAT AT:

•    Assist the Sales organization as a subject matter expert of the On-Demand Messaging Legal team 
•    Advise and participate in contract negotiations, including risk management and assessment of commercial transactions in accordance with OpenText policies
•    Contract drafting including writing new clauses, amending standard clauses, and editing other clauses as applicable
•    Provide guidance on contract documents and processes
•    Participate in internal working groups related to software and service offerings, contracting, and processes
•    Conduct training for the sales organization on contracts and legal processes, as needed.
•    Working effectively and pragmatically in a fast-paced environment 


WHAT IT TAKES:

•    4+ years previous experience conducting contract negotiations for technology cloud/SAAS services and software.
•    Legal background with advanced skills in contract negotiation, drafting and interpretation of a wide variety of agreements.
•    Proven drafting skills (writing new clauses, amending, and modifying legal language).
•    Strong experience working in a legal department or a law firm handling commercial matters.
•    Enthusiastic, hard-working, enjoy working in a team environment and confident working at a senior level with lawyers and other professional colleagues.  
•    Attention to detail with emphasis on accuracy and quality 
•    Experience doing business with regulated industries, and understanding or interest in data privacy/ data security a plus.
•    Ability to prioritize work to balance multiple projects and deadlines in an ever-evolving environment.
•    Strong capabilities and expertise in Word, PowerPoint, and Excel.
•    Demonstrated ability to collaborate within and across teams 
•    Proven ability to work under pressure to meet deadlines.
